Law graduate with accreditation/certification from ICSA, ICSI or their equivalent
Should have 10 + of PQE in corporate legal function in a reputed law firm or as a corporate in house legal counsel, with minimum 5 years as a Group company secretary or its equivalent of an MNC with operation in numerous countries.
Have diversified domain exposure preferable in Financial Industry
Thorough technical knowledge on the global M&A practices, Corporate Law, IPO processes in various key IPO markets like London.
Experience and demonstrated strength in acquisitions and negotiations
Proven track record in the role of Company Secretary
Ability to handle entire deal process from origination to closure
Manage Projects & Economics. Acquire and Apply Commercial & Technical Expertise.
Excellent drafting, interpersonal skills, numerical & analytical skills
10. Superior writing & communication skills and ability to handle multiple tasks. Multi-linguistic proficiency (both written & spoken) will be an added advantage
DESCRIPTION
Corporate Governance
Support the function in setting up a workable Corporate Governance structure for the Group.
Help in setting up workable board and various committees for the various companies under the Group
Drafting Board and Board Committee papers on corporate governance and other related matters.
Draft, review and maintain documents that support the corporate governance framework, including Corporate Governance in UAE Exchange, Charter of Expectations, Matters Reserved to the Board and Board Committee, Terms of Reference etc
Undertaking corporate governance research and benchmarking exercises.
Drafting ad hoc reports/undertaking ad hoc research and preparing briefing papers for the Board.
Maintaining up to date knowledge of relevant corporate governance issues, including researching and preparing monthly internal corporate governance newsletters.
Advising on corporate governance best practice and the operation of relevant Group policies, e.g., non-audit services policy.

Certified qualification in AML/CTF Arena
Definite Exposure to FC Business, KYC, CDD and Risk Based Approach
Definite Exposure to Compliance Analysis and Reviews
Excellent Communications skills with proficiency in English Language
Computer awareness with exceptionally good expertise using MS Office
Experience of 6 years in a Money Transfer/Banking/Financial Services Industry in a legal/compliance, auditing with at least 3 years in a managerial role
Project / Process Management capabilities, Certifications will be of preference.

Policies and Procedures
Assist the CCO Global in Developing Organisational AML/CTF Framework, Polices, and Programs & Procedures that are related to Bank Notes Division.
Formulate & Execute a Risk Based Client On Barding Procedures, CDD Procedures and OCDD across the Business Units.
Periodic Review of Policies, Procedures and Processes.
Conduct periodic on-site reviews and risk assessment on Bank Notes/ Alternate Channel Clients
Prepare BRDs and Liaise with technology groups to ensure completion of 'projects' to remediate identified gaps in the IT controls as well as taking IT Development initiatives to ensure compliance with AML policy and procedure of the Business Unit
- Compliance
Establishing automated Surveillance Environment for Bank Notes as a SBU & for Alternate Channels across the Globe.
Promptly and accurately prepare and deliver reports to regulators and law enforcement agencies as per the regulatory directives of various jurisdictions in which the Business Unit Operates directly or indirectly.
Ensure that the Bank Notes Division & products under Alternate Channel are compliant to the the Global AML/CTF Policies and the Country AML/CTF Procedures and are executed in Compliance to both the Local Regulatory Framework & Group Policies
Manage the Client On Boarding for Bank Notes Division & Clients involved in Alternate Business Channels
Conduct Periodic Audits /Assessments across the Business Units and submit the necessary reports to CCO Global
Reporting to Statutory and Regulatory Bodies
Formulate Appropriate Suspicious Activity Controlling Mechanisms including Regulatory Filings, System Controls, Alerts, Employee Training across the Business Units, in coordination with respective MLRO
Act as a Central Repository at Bank Notes SBU & alternate Business Channels and Ensure proper documentation of compliance related reports including Suspicious Transaction Report (STR) ,CTRs, TTRs, Export/Import Reports etc.
Performing Analysis of various natures, create and circulate appropriate and periodic MIS Reports & Dash Boards
- Training
Design, Develop and execute AML CTF Awareness and Training Programs across the organisation on Bank Notes and Alternate Channels that includes, agents, affiliates and Employees.
Act as a subject matter expert and provide compliance training and be responsible for updating employees and line managers on compliance related matters (Globally)
- System Updates
Understand the Compliance Related Projects/ Requirements from the respective geographies / departments to create the BRD & anchor the project development by involving the relevant stakeholders.
Periodic Review of Products/ Services and Systemic Controls.

Building and Maintaining Relationships with both internal and external stakeholders that includes Regulators, Clients and Organisational Departments
Manage Productivity
