Chief Legal Officer (Kazakhstan)

Responsibilities

Chief Legal Officer will provide full legal and commercial support to all transactions and activities that require a local law input.  This will also require a familiarity with the legal systems of other Central Asian jurisdictions, together with an ability to be able to research and advise on matters of Russian law.
 
Transactional work

·         Provide all necessary legal and commercially sound advice with respect to domestic and regional merger and acquisition transactions undertaken by company.  Such advice will include transaction structuring, and the drafting and negotiation of transaction documentation (sale and purchase agreements, investment agreements, joint venture agreements, corporate resolutions).
·         Take the primary lead in closing (and documenting the closure of) all regional merger and acquisition transactions.
·         Draft, negotiate and review all incidental local contracts concluded by company (e.g., confidentiality agreements, lease agreements, administrative contracts, supply arrangements).

Corporate Governance

·         Introduce and roll-out a comprehensive system to capture and monitor regional contractual obligations assumed by company.
·         Provide assistance and advice in relation to the implementation and ongoing management and monitoring of the department’s project to improve the group’s corporate governance.
·         Corporate secretarial
·         Under the supervision of the General Counsel, and in close liaison with the junior lawyer (Kazakh qualified), overall responsibility for all corporate secretarial and administrative work in relation to company domestic and regional companies
·         Oversight of various corporate documents, including powers of attorney, board minutes, director and shareholder resolutions, protocols, orders, notifications, official letters and requests, share transactions and loan transactions.
·         Cooperation with state registration and other governmental agencies; oversight of relations with notaries public.
·         Instructing and managing local external counsel as appropriate.
·         Assistance with any corporate restructuring of the company group of companies.
·         Departmental support
·         Assist with the refinement of the group’s legal archive (and data recall) systems.
·         Development of a comprehensive legal precedent system.

Relevant experience / skills

·         Law degree from a reputable university/LLM
·         10 years post-qualified experience.
·         At least 6 years’ previous experience of working in an established law firm and in a relevant practice area (corporate / commercial; finance).
·         Fluent English language skills (both spoken and written, including drafting skills in English).
